Influencer Terms of Service

These Influencer Terms of Service (the "Terms") govern your participation as an influencer, affiliate, or creator ("Influencer", "you") in affiliate programs operated on the Referly platform ("Referly", "we", "us"), including the influencer hub at influencers.referly.so. By creating an influencer account, joining an affiliate program through Referly, or continuing to use the platform, you agree to these Terms and to our Influencer Privacy Policy.
1. The Referly network
Referly provides software that lets businesses ("Merchants") run affiliate programs, and lets Influencers discover, join, and promote those programs from a single account. Each affiliate program is operated by its Merchant. Commission rates, cookie windows, payout schedules, and any program-specific rules are set by the Merchant and shown to you before or when you join a program. Where a Merchant's own program terms conflict with these Terms, the Merchant's terms control for that program.
2. Eligibility and your account
- You must be at least 18 years old and able to enter into a binding contract.
- You must provide accurate information — including your name, email, social accounts, and payout details — and keep it up to date.
- Your account is personal to you. You are responsible for all activity under it and for keeping your login secure.
- We and Merchants may approve, decline, or remove your participation in any program at any time, including where fraud or a breach of these Terms is suspected.
3. Commissions and payouts
- Commissions accrue according to the commission plan of each program you belong to, based on tracked referrals attributed to your links or codes.
- Merchants may hold, adjust, or reverse commissions for refunded, chargebacked, cancelled, or fraudulent transactions.
- Payouts are made via the payout method you configure (such as PayPal, Wise, or local bank transfer powered by Wise) and may be subject to minimum payout thresholds and holding periods set per program.
- You are solely responsible for any taxes on amounts paid to you, and for providing any tax or invoicing information reasonably requested.
4. Promotion rules
When promoting any program, you must not:
- refer yourself, use stolen payment methods, or generate artificial clicks, signups, or purchases;
- send spam, use misleading or deceptive claims, or misrepresent your relationship with a Merchant or with Referly;
- bid on a Merchant's trademarks or brand terms in paid search, or impersonate a Merchant's official website, unless the Merchant has expressly allowed it;
- promote via illegal content or in violation of any applicable law, including advertising-disclosure rules (such as the FTC Endorsement Guides — you must clearly disclose your affiliate relationship);
- offer unauthorized coupons, cashback, or incentives where a program prohibits them.
5. Content and licenses
You retain ownership of the content you create. You grant each Merchant whose program you join, and Referly, a non-exclusive license to use your name, handle, profile photo, and promotional content in connection with operating and promoting the relevant program (for example, showing your profile in a Merchant's affiliate dashboard or leaderboards). Merchants grant you a limited license to use their approved brand assets solely to promote their program, revocable at any time.
6. Termination
You may stop participating at any time. We or a Merchant may suspend or terminate your participation in a program (or the platform, in the case of Referly) for breach of these Terms, fraud, or lawful business reasons. Commissions properly earned before termination and not subject to reversal will be paid out per the applicable program's payout schedule; commissions arising from fraudulent or non-compliant activity are forfeited.
7. Disclaimers and liability
The platform is provided "as is". Referly is not a party to the relationship between you and any Merchant and is not responsible for a Merchant's products, program changes, or failure to fund payouts. To the maximum extent permitted by law, Referly's aggregate liability to you under these Terms is limited to the total commissions paid to you through the platform in the three months preceding the claim.
8. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the platform or by email, and continued use of the platform after changes take effect constitutes acceptance.
